Afognak Native Corporation has an exciting opportunity for a Corporate Counsel. The Corporate Counsel provides senior management of Afognak Native Corporation (Afognak), Alutiiq, LLC (Alutiiq), Afognak Commercial Group, LLC (ACG) and their subsidiaries with accurate, timely and effective legal advice regarding federal government contracting law, commercial contracting and operations to include retail liquor stores, real property law (including commercial leases), corporate and business law, employment law and litigation. The position of Corporate Counsel reports to the Chief Legal Officer & General Counsel.

  • Draft, review, and negotiate contracts and other agreements including NDAs, Teaming Agreements, consulting and service agreements, subcontracts, real and personal property use and transactional agreements, and real property leases for subsidiaries operating in the government contracting and commercial sectors.
  • Assist with operational expansion into foreign countries, including acquisition and maintenance of appropriate business licenses, registrations and other legal documents required to perform work outside of the U.S., in consultation with foreign counsel as needed.
  • Assist with management of litigation including the selection and management of outside counsel and settlement strategy and representing and counseling entities on government contracts and disputes, including bid protests, contract and subcontract claims, investigations and disclosures, and litigation.
  • Assist operational personnel with non-litigation dispute resolution.
  • Provide legal advice to commercial operations regarding State of Alaska Alcohol & Marijuana Control regulations and assist with maintenance of licenses for retail liquor stores with the State of Alaska and local cities.
  • Assist Chief Compliance Officer & Corporate Counsel with internal investigations, as well as provide internal legal support for external investigations and audits.
  • Conduct root-cause analysis and recommend remedial actions to address any instances of employee misconduct or non-compliance with relevant laws and policies, distribute findings to relevant internal parties, and help develop and implement related management action plans.
  • Assist with drafting policies and procedures and conducting periodic review of same.
  • Assist with corporate governance issues including the provision of legal advice to Afognak’s Board of Directors and oversight of corporate books for Afognak, Alutiiq, ACG and their subsidiaries.
  • Assist with compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact Afognak and its direct and indirect subsidiaries.
  • Represent Afognak, Alutiiq, ACG and their subsidiaries in strategic acquisitions and joint ventures; conduct due diligence investigations; structure transactions; and negotiate key transaction documents.
  • Assist with matters regarding SBA compliance in connection with participation in the Small Business Administration’s (SBA) 8(a) Business Development Program and HUBZone Program.
  • Assist with other Legal Department special projects as assigned.

Payrate: $151,000 to $172,000 Annually

  • Experience drafting, reviewing and negotiating contracts and other transactional documents.
  • Experience drafting and reviewing corporate policies and procedures.
  • Experience with general corporate and business law, and employment law.
  • Litigation experience or experience managing litigation and outside counsel.
  • Experience with domestic and international business compliance matters.
  • Ability to translate complex legal concepts into actionable advice for the business.
  • Experience with Alaska Native Corporation corporate governance issues and ANCSA.
  • Experience with federal laws, regulations and industry standards regarding federal government contracting.
  • Experience with the SBA’s programs, particularly the SBA’s 8(a) Business Development Program and its application to Alaska Native Corporations.
  • Strong legal writing and legal research skills.
  • Strong communication skills and analytical and strategic skills.
  • Demonstrated ability to manage a range of legal matters.
  • Willingness to tackle projects, ability to set priorities, organize resources, meet deadlines and balance competing demands.
  • Ability to work collaboratively within the Legal Department and other departments, and with management and operational staff among a multi-tier subsidiary corporate structure.
