SUMMARY
The Senior Corporate Counsel/Associate General Counsel position is a pivotal legal role within ASRC's $6+ billion enterprise, safeguarding our interests while advancing the accomplishment of business goals. This is not your typical in-house counsel role—it demands a rare combination of legal firepower, strategic vision, and hands-on partnership with employees at every level.
This position requires material subject matter expertise in at least one of the primary areas, although the day-to-day legal work will involve a broad array of corporate in-house work for our diverse and growing business lines, including contract drafting and negotiation, litigation management, employment law, construction law, compliance and regulatory support, government contracting, corporate governance, financial services and technology, and additional matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES (and other duties as assigned)
Commercial Contracts: Draft, review, and negotiate commercial agreements with vendors, customers, and partners.
Corporate Governance: Advise on best practices for corporate governance, board matters, governance committees, and legal structure.
Litigation: Proactive, strategic litigation management and coordination in partnership with outside litigation counsel.
Compliance and Risk Management: Support operating companies and internal functions on compliance and risk management, including the identification, assessment, and practical advice and counsel on legal risks associated with business activities and compliance with all applicable laws and regulations.
Mergers & Acquisitions: Support due diligence, structuring, and execution of acquisition and divestiture strategy.
Policy Development, Management & Support: Create, implement, and train employees on legal-related policies and procedures.
Business Partnership: Strong communication and collaboration with operating subsidiaries and support services to achieve business objectives.
Legal Research: Stay current on evolving laws and provide timely advice and counsel.
Project Management: Proven ability to manage multiple projects simultaneously.
Strategic Objectives: Assist with other legal department objectives.
Other duties will be assigned to this position as needed.

EDUCATION and/or EXPERIENCE
J.D. degree (or foreign equivalent) and admitted to at least one U.S. state bar and in good standing.
A minimum of 5+ years of large law firm experience for Senior Corporate Counsel (minimum 10+ years of total, combined legal experience for Associate General Counsel).
Strong subject matter, partner-level expertise in at least one of the following primary areas: Commercial Contracting, Litigation, Mergers & Acquisitions, Financial Services, or Construction Law.
Experience with Alaska Native Corporations, employment law, and/or government contracting is a plus but not required.
Excellent negotiation, communication, analytical, and problem-solving skills; strong business judgment.
Exceptional written and verbal communication skills.
Valid driver’s license required.
